JLBC Cadet Corps Confidentiality Agreement
PARTIES
This Confidentiality Agreement ("Agreement") is entered into by and between the undersigned ("Recipient") and the JLBC Cadet Corps, a not-for-profit military cadet organization, with its principal offices located at [JLBC Cadet Corps Headquarters address] ("Corps").
1. CONFIDENTIAL INFORMATION
1.1 For this Agreement, "Confidential Information" shall mean any non-public information disclosed by the Corps to the Recipient. This includes but is not limited to:
a) Personnel records, including personally identifiable information, contact information, health records, performance evaluations, disciplinary records, and other related documents.
b) Strategic, tactical, and operational plans, methodologies, training procedures, and other information.
c) Proprietary software, hardware, or technical information.
d) Financial information, including budgeting, funding, and donation records.
2. OBLIGATIONS OF THE RECIPIENT
2.1 The Recipient agrees to hold the Confidential Information in strict confidence and not to disclose, reproduce, disseminate, or use the Confidential Information except as required while performing their duties with the Corps.
2.2 The Recipient shall only disclose the Confidential Information to persons who need to know such Confidential Information to fulfil the Recipient's obligations to the Corps and who are bound to keep such information confidential.
3. RETURN OF CONFIDENTIAL INFORMATION
Upon termination of this Agreement or Corps's request, the Recipient shall immediately return to Corps all Confidential Information received from Corps or destroy all copies of such Confidential Information, as directed by Corps.
4. DURATION
This Agreement shall be effective as of the date first below written. It shall continue in effect until all Confidential Information becomes public knowledge, through no fault of Recipient, or is returned to Corps.
5. BREACH OF AGREEMENT
The Recipient understands that any breach of this Agreement could damage the Corps and that, in the event of such breach, the Corps will have the right to seek legal and equity remedies.
6. GOVERNING LAW
This Agreement shall be governed by and construed following the laws of the state of [STATE], without regard to its conflict of laws principles.
7. ENTIRE AGREEMENT
This Agreement contains the entire Agreement between the Parties and supersedes all prior oral or written agreements, understandings, or arrangements relating to the subject matter of this Agreement.
